Local Trade Event Vendor Agreement Terms and Conditions
All approved Vendors must read and understand the following terms and conditions for participation in Local Trade events.
**Upon completing booth payment, participating Vendors agrees to the terms and conditions provided within.
1. Booth Fees & Cancellations
Booth fees are non-refundable. In the event of postponement or cancellation by Local Trade AZ, a credit of equal value will be issued towards a rescheduled or future Local Trade AZ event. Credit must be used within 12 months of the original event date, has no cash value, and cannot be transferred.
Vendor cancellations are non-refundable for any reason.
Due to the extensive planning and preparation involved in organizing our events, no refunds or credits will be issued for vendor cancellations.
2. Safety & Compliance
Local Trade AZ is committed to providing a safe space for all Vendor Participants and Attendees.
Vendors agree to follow all applicable health & safety regulations as provided. This includes but is not limited to, obtaining necessary permits, licenses, and insurance policies, adhering to food safety guidelines (if applicable), and following regulations provided by the City of Phoenix for large outdoor events. Vendors are responsible for maintaining an organized and safe booth space, as well as securing their own property and inventory at all times.
3. Weather Policy
Event is held outdoors and will take place ‘Rain or Shine’. Local Trade AZ reserves the right to adjust event times due to severe weather or other unforeseen circumstances that pose a safety risk. Local Trade AZ is not liable for any damage or loss of vendor property or inventory due to inclement weather.
Event cancellation or postponement by Local Trade AZ will offer vendors a credit toward a rescheduled or future event to be used within 12 months.
No refunds will be issued.
4. Booth Space is Assigned
Vendors will receive booth assignments via email one week before the event. Booth space assignments are non-negotiable and cannot be changed. To familiarize yourself with the market layout, we encourage you to visit the venue space before the event.
5. Equipment Responsibilities
Vendors are responsible for providing all necessary equipment for their booth setup, including but not limited to pop-up tents, market umbrellas, product displays, tables, chairs, weights, and payment processing systems. Vendors are also responsible for transporting, setting up, and breaking down their booth equipment and displays.
6. Power supply
Power outlets are very limited. Vendors who require electricity must be confirmed at application approval. If a power supply is available, vendors must provide their own extension cords. All cords must be safely managed and placed to avoid tripping hazards. Local Trade AZ is not responsible for any power outages or electrical issues but will work to best resolve issues with the Venue maintenance staff.
7. Shade Tent Requirements
Shade spots cannot be guaranteed. Vendors may bring shade structures (pop-up tents, umbrellas) for their personal use, provided they comply with the size restrictions of their approved booth space. Any color shades are allowed. Large pop-ups must have straight legs, no slant-legged styles are permitted.
All shade structures must be securely weighted to prevent damage or injury. Vendors are responsible for ensuring that shade structures do not become a safety threat or cause harm to others or property. Local Trade AZ is not responsible for any damage to shade structures due to weather conditions.
Some booth spaces may offer natural shade and will NOT accommodate any pop-ups or umbrellas due to height restrictions.
8. Vendor Parking.
Vendors are required to park in designated parking areas provided by Town & Country. Maps indicating specific vendor and visitor parking areas will be provided along with load-in instructions before the event and at check-in. Failure to follow this instruction may result in restriction from future Local Trade AZ events.
9. Set-up and load-in
Detailed instructions will be provided by email one week before the event. Vendors must adhere to the setup and breakdown schedule. Booths must be completely set up prior to the market start time. Late setup is not allowed and no refunds or credits will be offered. Vendors are responsible for ensuring their entire booth display fits within the assigned space dimensions. Booths cannot be dismantled until the scheduled market end time. Early teardown without prior approval may lead to future event restrictions.
10. Marketing and Media
I understand that as an approved vendor, I am expected to promote my participation in this event. Local Trade AZ actively promotes events with social media campaigns and promotions, local online publications, print advertising, and community association partnerships to ensure that we bring out as many visitors as we possibly can. We ask that Vendors agree to promote their participation in the event on their regularly utilized marketing channels, including but not limited to business social media platforms, websites, and local contact lists. Upon application accepted, vendors will receive digital marketing materials to assist with this. Print flyers may also be requested to be delivered by Local Trade.
Local Trade AZ reserves the right to use photos and videos including sound taken at the event for promotional purposes, including but not limited to social media, website, and print materials.
11. Vendor Conduct:
Vendors agree to conduct themselves professionally and courteously toward all event attendees, staff, and other vendors. Any disruptive behavior or conduct that negatively impacts the event may result in immediate removal from the event without a refund.
12. Vendor & Product Eligibility
Local Trade AZ reserves the right to approve or deny vendor applications and product offerings. Resellers and copyright infringement are strictly prohibited. Vendors must accurately represent their business and inventory offering and must immediately update any changes from the application for approval. Local Trade AZ maintains the right to modify, relocate, or remove any vendor or unapproved products at any time for any reason, including misrepresentation from approved applications.
12a. Burning of candles, melts, or incense is not allowed for health and safety concerns.
13. Vendor Responsibilities and Indemnification:
Vendors are solely responsible for their business operations, including but not limited to sales, inventory, and liability. Local Trade AZ assumes no liability for any loss, damage, or injury to vendors, their property, or their customers. Vendors agree to indemnify and hold harmless Local Trade AZ, its affiliates, and their respective officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, or expenses arising out of or in connection with the vendor's participation in the event. Vendors are strongly encouraged to carry general liability insurance to cover potential risks.
14. Permits, Licenses, and Taxes
Vendors are responsible for obtaining and maintaining all necessary business licenses, permits, and tax registrations required to operate their business in the City of Phoenix. Vendors must comply with all applicable laws and regulations, including collecting and remitting sales tax. Local Trade AZ is not responsible for vendor compliance with tax remittance. Proof of required Sales Tax licenses must be provided to Local Trade AZ before a booth space can be assigned.
15. Agreement to Terms:
By submitting booth payment, the vendor acknowledges and agrees to comply with all terms and conditions outlined herein. Failure to adhere to these terms and conditions may result in the vendor's exclusion from future Local Trade AZ events.
